Poland: SDZLEGAL Schindhelm acted on behalf of the owners in the sale of 100% of the shares of the provider of regulatory software for the financial sector.

SDZLEGAL SCHINDHELM lawyers advised the owners of FINGO on the sale of a 100% stake in the company to Regnology, a leading global provider of supervisory and regulatory reporting solutions.

FINGO is a 25-year-based software house in Wrocław specializing in the development of regulatory software for the financial sector. FINGO provides services to over 500 financial institutions in seven European Union countries, and its solutions are used by 93% of Polish banks, including all local cooperative banks.

FINGO's portfolio includes the eON, aSISt and iON reporting systems, as well as the inSISt (XBRL validation solution) and tranSIS (supervisory solution) products.

Regnology is a leading global provider of innovative solutions for supervisory, regulatory and tax reporting. Regnology's solutions are used by more than 35,000 financial institutions and 70 regulatory authorities and tax administrations.

The transaction was closed on January 24, 2025.

Lawyers from SDZLEGAL Schindhelm, the lead transaction advisor to the sellers, in cooperation with the English law firm Aaron & Partners Solicitors, advised the owners of FINGO throughout the entire transaction process, supporting the owners in the due diligence process conducted by Regnology, as well as preparing and negotiating the transaction documentation and were responsible for organizing and coordinating the closing of the transaction.
